Clause guide

Each part of the document in simple words.

Lease or leave and licence
A lease transfers a right to hold the property for a term, usually for a premium or rent, and for more than one year it must be registered. A leave and licence only gives permission to use the premises and can be ended more easily. Choose with your advocate; the words change everywhere.
Recitals (WHEREAS)
These say who the owner is, how the owner got the property, and why the parties are signing. They help a court read the agreement.
Rent free fit-out period
The tenant gets some days to build the interior before rent starts. The lock in still runs from the start date.
Escalation
The rent increases by a fixed percent after a fixed number of months. Both numbers are yours to choose.
Lock in
Neither side may leave in this period. You can give different periods to the owner and the tenant.
Security deposit
Interest free money kept as security. Only unpaid dues and damage beyond normal wear can be deducted, and it must be returned within the days you set.
Tax on rent
Tax may have to be deducted at source from rent and GST may apply. The section of the tax law is left for your CA to confirm.
Indemnity and force majeure
Indemnity makes each side pay for harm caused by its own breach. Force majeure excuses delay caused by events nobody can control.
Disputes
Choose arbitration (a private decision-maker, seat and venue in your city) or only the courts of one city.
Stamp duty and registration
Pay stamp duty as your state's law requires and register the deed where the law requires. Use the stamp duty calculators on this site for official rates.

Common questions

Should I choose lease or leave and licence?
A lease gives the tenant an interest in the property for a term. A leave and licence gives only permission to use it. Ask your advocate. The format changes every word to match your choice.
Must a commercial lease be registered?
A lease of immovable property for more than one year is required to be registered under section 17 of the Registration Act, 1908 (law reference to be confirmed by your CA or advocate for your State). Stamp duty is set by your State.
Who deducts tax on rent?
Where the law requires it, the tenant deducts tax at source from the rent. The provision to cite is left for your CA to confirm.
Is this document reviewed by an advocate?
No. Get it reviewed by an advocate before signing.
